Experience
Carol C. Hogan's practice focuses upon the development, organization
and operation of integrated delivery systems, corporate transactional
and affiliation issues, physician groups and networks, and physician/hospital
joint ventures with a special expertise in legal issues involving tax
exemption, Stark, Medicare and Medicaid fraud laws, managed care and
integrated health care delivery. Ms. Hogan has structured numerous physician
hospital organizations, multi-hospital affiliations, IPA's, and "carve
out" managed care products. As an example of her practice expertise,
she has recently completed an analysis regarding the tax, CON, licensure
and corporate organizational and governance issues regarding the restructuring
of a large metropolitan health care system. She has also assisted several
physician groups in restructuring their organizations and forming practice
management companies. In her capacity as general legal advisor to many
of our clients she has negotiated and structured vendor relationships
for information systems, supplies, billing services and insurance. Ms.
Hogan also is an expert in not-for-profit law and has advised boards
of trustees of not-for-profit organizations including schools and retirement
housing facilities as to their fiduciary obligations in light of charitable
trust, tax exemption and the Sarbanes-Oxley laws.
Education
Ms. Hogan received her law degree from Loyola University College of
Law, Magna Cum Laude, where she graduated second in her class and was
editor of the Law Review. She received her bachelor's degree, Cum Laude,
from St. Mary's College, Notre Dame, and subsequently did graduate work
in psychology at the University of Chicago.
Professional Memberships/Activities
Ms. Hogan is a member of the American Health Lawyers Association and
the Illinois State Bar Association.
Ms. Hogan was admitted to the Illinois Bar in 1986 and is a founding partner of Hogan Marren, Ltd., formed in 1993.
